What Item 106 Requires

Item 106 has two main components. First, registrants must describe their processes for assessing, identifying, and managing material cybersecurity risks, including how those processes are integrated into overall risk management. Second, they must describe management's role in assessing and managing risks and the board's oversight of cyber risk.

The disclosure appears in annual reports (Form 10-K) rather than as event-triggered filings. It gives investors a periodic view of how cyber risk is being governed, complementing the incident-specific disclosures required under Item 1.05.
